This Sales Agreement (“Agreement”) is entered into as of [Date], by and between Cattle Wise Investments , hereinafter referred to as “Cattlewise,” and Vendor.
1. Introduction
Cattlewise operates a multi-vendor ecommerce platform specializing in the sale of cattle and related products. The Vendor wishes to sell its products on the Cattlewise platform, and this Agreement outlines the terms and conditions governing such sales.
2. Product Listings and Descriptions
2.1 The Vendor agrees to provide accurate and complete information for each product listing, including detailed descriptions, images, pricing, and availability.
2.2 Cattlewise reserves the right to review and approve all product listings to ensure they align with the platform’s standards and guidelines.
3. Pricing and Payment
3.1 The Vendor has the authority to set the prices for their products, which shall include any applicable taxes and fees.
3.2 Cattlewise will process payments from customers on behalf of the Vendor and remit the agreed-upon percentage or fee to the Vendor, minus any transaction fees.
4. Order Fulfillment and Shipping
4.1 The Vendor is responsible for fulfilling orders promptly and accurately.
4.2 Shipping costs and delivery times must be clearly communicated to customers. Any shipping issues should be promptly addressed by the Vendor.
5. Returns and Refunds
5.1 The Vendor agrees to adhere to Cattlewise’s return and refund policies.
5.2 In the case of a return or refund request, the Vendor will work with Cattlewise to resolve the issue promptly and fairly.
6. Commission and Fees
6.1 Cattlewise is entitled to a commission fee for each successful sale made through the platform, as outlined in the separate fee schedule provided by Cattlewise.
7. Term and Termination
7.1 This Agreement shall commence on the effective date and continue until terminated by either party with a written notice of 30 days.
7.2 Cattlewise reserves the right to terminate this Agreement immediately in the event of a material breach by the Vendor.
8. Confidentiality
8.1 Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of this Agreement.
9. Governing Law
9.1 This Agreement shall be governed by and construed in accordance with the laws of Namibia.
10. Miscellaneous
10.1 Any modifications to this Agreement must be made in writing and signed by both parties.
